Effective from 25 October 2026
1.1 These terms of service (the “Terms”) govern the rights and obligations of the provider and the client when the BonusQR service is provided.
1.2 The Provider is BonusQR s. r. o., registered office Bosákova 3783/7, 851 04 Bratislava – Petržalka, Slovak Republic, company ID (IČO) 57246475, tax ID (DIČ) 2122629014, VAT ID SK2122629014, registered in the Commercial Register of the Bratislava III Municipal Court, section Sro, file No. 192253/B, e-mail info@bonusqr.com (the “Provider” or “BonusQR”).
1.3 In these Terms:
1.4 The Service is intended for businesses for the purposes of their business. The agreement between the Provider and the Client is not a consumer contract and consumer protection provisions do not apply to it. The relationship between the Client and its Customers (including the terms of the loyalty programme, vouchers and e-shop sales) is not a contractual relationship with the Provider. The free use of the BonusQR account by Customers is governed by section 12.
2.1 The agreement on the provision of the Service (the “Agreement”) is concluded when the Client registers in the Service and agrees to these Terms. The Agreement consists of these Terms, the Price List and, for a paid Plan, the terms of the subscription order.
2.2 The person registering the Client confirms that they are authorised to act on its behalf and that the details provided are true. The Client is responsible for keeping the details in its account up to date.
2.3 The Client is responsible for all actions taken through its account, its Staff accounts and its API keys. It must protect its access credentials against misuse and revoke the access of persons who no longer work for it without undue delay.
2.4 A Client running several venues or a network (brand) may set up their links, a shared loyalty programme and the permissions of Managers and Staff in the Service. Ownership of a network may be transferred to another person in the Service; the subscription and the stored payment method are transferred with it.
3.1 The Provider provides the Service within the Plan the Client has activated. The Free Plan is free of charge and includes a basic set of features. The Basic and Premium Plans are paid and unlock further features according to the Price List.
3.2 The Provider develops the Service continuously. It may add, change or modify features, provided that this does not substantially reduce the scope of a paid Plan during the period the Client has paid for.
3.3 The Provider may change the scope and terms of the Free Plan or discontinue it; it will notify the Client by e-mail at least 30 days in advance.
3.4 Custom services (e.g. an app under the Client’s own brand – white label – or a custom mobile app) are provided under a separate agreement; these Terms apply to them as appropriate unless that agreement provides otherwise.
4.1 The prices of paid Plans are set out in the Price List. The currency in which the Client pays is determined by the Client’s country. The Client chooses the billing period (monthly, quarterly, half-yearly or yearly); a longer period may be discounted.
4.2 The subscription is paid in advance for the whole chosen period, by payment card or another method offered by the Stripe payment gateway (e.g. Apple Pay, Google Pay). Payment card data is processed by Stripe; the Provider does not have access to it.
4.3 At the end of each period the subscription renews automatically for a period of the same length and the price is charged automatically until the Client cancels it.
4.4 The price at which the Client ordered the subscription does not change while the subscription runs until the Client cancels it. Changes to the Price List apply to new orders.
4.5 When upgrading to a higher Plan during a period, the price difference for the remainder of the period is charged immediately. Discount codes may be applied when ordering where the Provider allows it.
4.6 The Client receives an invoice or a payment receipt by e-mail. Value added tax is applied in accordance with applicable law.
4.7 If a payment fails, the Provider may restrict access to paid features until it is paid. The Client’s data is not deleted as a result.
4.8 SMS credit (e.g. for booking reminders) is purchased in advance. Unused credit is not refunded and cannot be exchanged for money.
5.1 The Client may cancel the subscription at any time in the account settings. The paid Plan remains active until the end of the paid period and is then not renewed. Payments for a period that has started are not refunded.
5.2 The Agreement is concluded for an indefinite period. The Client may terminate it at any time by cancelling the subscription and requesting the closure of the account at info@bonusqr.com.
5.3 The Provider may terminate the Agreement or restrict access to the Service if the Client materially breaches these Terms or the law, in particular if it misuses the Service to send unsolicited messages or for fraudulent activity, endangers the security of the Service or fails to pay. In the case of a serious breach it may do so with immediate effect.
5.4 After the account is closed, the Provider deletes the data of the Client and its loyalty programme within 30 days at the latest, except for data it must retain under the law (e.g. accounting documents). Before closing the account the Client may request an export of its Customer data in a common electronic format.
6.1 The Client may sell prepaid items, passes and gift vouchers to Customers through the Service. The Client is the seller towards the Customer; it is responsible for the offer, the price, fulfilment, handling complaints and refunds to Customers and for its tax obligations arising from the sale.
6.2 Customer payments are received by the Provider through the Stripe payment gateway and transferred to the Client’s Stripe Connect account after deducting a fee of 5% of each payment. The fee includes the payment gateway charges. Until the Client has connected a Stripe Connect account, payments cannot be transferred; the Provider transfers them once the account is connected.
7.1 The Client uses the Service in accordance with the law and these Terms. In particular, the Client:
7.2 The Client compensates the Provider for any damage caused by breaching its obligations under this section, in particular claims of Customers or third parties.
8.1 The Provider strives to operate the Service continuously and without errors but does not guarantee a specific availability. It may temporarily restrict the Service for maintenance, updates or security reasons; it aims to carry out planned maintenance when it least affects Clients.
8.2 Some features depend on third-party services (e.g. Apple Wallet, Google Wallet, Stripe, sign-in with Google or Apple, delivery of notifications and SMS). The Provider is not responsible for their outages or changes to their rules.
8.3 The Provider provides support by e-mail at info@bonusqr.com and via the in-app chat. To resolve the Client’s request, a support agent may, with the Client’s consent, view the Client’s account.
9.1 The Service, its software, design, the BonusQR brand and related rights belong to the Provider. Under the Agreement the Client obtains a non-exclusive, non-transferable right to use the Service for the term of the Agreement within its Plan.
9.2 Content uploaded to the Service by the Client remains the Client’s. The Client grants the Provider the right to use this content to the extent necessary to provide the Service (e.g. displaying the venue’s logo and name on cards and in the app).
9.3 The Provider may use anonymised and aggregated statistical data on the use of the Service, from which neither the Client nor Customers can be identified, to improve the Service.
10.1 When running the loyalty programme, bookings, the e-shop and communication with Customers, the Client is the controller of the personal data of Customers and Staff and the Provider is its processor under Article 28 of Regulation (EU) 2016/679 (GDPR). This section constitutes the data processing agreement between the Client and the Provider.
10.2 Subject matter and duration: processing for the term of the Agreement and until the data is deleted under clause 5.4.
10.3 Nature and purpose: storing and processing the data needed to run the loyalty programme (stamps, points, cashback, credit, vouchers, referrals), recording visits and purchases, automatic Customer groups, bookings, the e-shop, sending news, notifications, e-mails and SMS, review requests, Apple Wallet and Google Wallet cards, statistics and the integrations the Client enables.
10.4 Categories of data subjects: the Client’s Customers, booking guests, recipients of gift vouchers and the Client’s Staff.
10.5 Categories of personal data: name, e-mail, phone number (for bookings), date of birth and gender (where the Customer provides them), history of visits and purchases including amounts, balances of stamps, points, cashback and credit, vouchers and rewards, bookings and notes, group membership, Wallet card and notification device identifiers, communication data, and the Staff data needed for access (name, e-mail, scan records).
10.6 The Provider undertakes to:
10.7 Location of processing: data of Clients from Europe is stored on servers in the European Union, data of Clients from Asia in Singapore and data of Clients from the Americas in the United States of America. When certain features are used (e.g. notifications, Wallet, payments), data may also pass through the further processors listed in the privacy policy; any transfer outside the European Economic Area is then based on an adequacy decision of the European Commission or on standard contractual clauses.
10.8 The Client is responsible for having a legal basis for processing its Customers’ personal data, for informing Customers about the processing and for ensuring that the instructions it gives the Provider comply with the law.
10.9 Customers have their own BonusQR user account in the Service (sign-in credentials, name, e-mail and profile settings), which they may use with several Clients. This account is managed by the Provider as an independent controller under its privacy policy; the terms of its use are set out in section 12.
11.1 The Provider is liable for damage caused by breaching its obligations under the Agreement. The total compensation is limited to the amount the Client paid the Provider for the Service in the 12 months before the damage occurred. Under the Free Plan the Service is provided as is, without warranty.
11.2 The Provider is not liable for lost profit, loss of business opportunities or indirect damage, for damage caused by incorrect use of the Service, by the Client’s data or content, by the actions of Staff or by outages of third-party services.
11.3 The limitations in this section do not apply to damage caused intentionally or by gross negligence, nor to the extent they cannot be excluded under the law.
12.1 A Customer may create a BonusQR user account in the Service free of charge and use it to join Clients’ loyalty programmes, collect and redeem benefits, make bookings or buy in a Client’s e-shop. By registering and agreeing to these Terms, the Customer and the Provider conclude an agreement on the use of the account, to which this section and sections 13 and 14 of these Terms apply.
12.2 The rules of the loyalty programme, offers, rewards, vouchers, bookings and e-shop sales are set by the Client, who is also responsible for them towards the Customer. The Provider is not a party to this relationship; the Customer addresses questions, complaints and claims to the Client.
12.3 The Customer provides true details, protects their sign-in credentials and must not misuse the Service, in particular obtain benefits by fraud, create several accounts to get around the rules of a programme or interfere with the operation of the Service. If the Customer breaches these obligations, the Provider may restrict or close their account.
12.4 The Customer may close their account and delete their personal data at any time in their profile in the app. Unused benefits can no longer be redeemed after the account is closed, so we recommend using them up beforehand.
12.5 The Provider may change the features of the account. The processing of the Customer’s personal data is governed by the privacy policy. The Customer’s rights as a consumer that cannot be limited by contract under the law are not affected by these Terms.
13.1 The Provider may change these Terms. The new version takes effect on the day it is published at bonusqr.com unless it states a later date. By continuing to use the Service the Client or the Customer agrees to the new version; if they do not agree, the Client may terminate the Agreement under section 5 and the Customer may close their account under clause 12.4.
14.1 The Agreement and these Terms are governed by the law of the Slovak Republic, in particular the Commercial Code. Disputes will be decided by the competent court of the Slovak Republic according to the Provider’s registered office.
14.2 The parties communicate primarily electronically – the Provider to the Manager’s e-mail stated in the account, the Client to info@bonusqr.com.
14.3 If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in force.
14.4 These Terms are made in Slovak and English. In the event of a conflict, the Slovak version prevails.
